Terms of Service

These Terms of Service (the “Terms”) govern access to and use of the CrowScout websites, applications, and related services (together, the “Service”). The person or entity operating CrowScout and identified in an applicable order form, invoice, or account notice is referred to as “CrowScout,” “we,” “us,” or “our.”

By creating an account, purchasing a plan, or using the Service, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

1. Eligibility and business use

You must be at least 18 years old and legally able to enter into a contract. CrowScout is designed for professional and business use. You may use it only where the Service and your intended activities are lawful.

2. What CrowScout provides

CrowScout is a demand-intelligence workspace. It can analyze product context, define search queries, discover public Reddit conversations, organize and score potential leads, generate market insights, and prepare draft replies or direct messages for human review.

CrowScout automates research and preparation, not your judgment or identity. CrowScout does not post replies or send direct messages to Reddit on your behalf. You decide whether, when, and how to communicate, and you remain responsible for everything you publish or send.

Some features are in active development, beta, preview, or dependent on third-party services. We may add, change, suspend, or discontinue features. We will use reasonable efforts to avoid materially reducing a paid Service during its current billing period without notice.

3. Accounts and security

You must provide accurate account information, keep it current, protect your credentials and recovery methods, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account unless caused by our breach of these Terms.

Accounts are for the named user or authorized team. You may not share credentials, circumvent product limits, or provide access to people who are not entitled to use your plan. We may require verification to protect an account or process a rights request.

4. Your products, inputs, and instructions

You may submit website URLs, product descriptions, target-user information, keywords, exclusions, edits, feedback, and other materials (“Customer Inputs”). You retain your rights in Customer Inputs.

You grant CrowScout a limited, worldwide, non-exclusive license to host, copy, process, and display Customer Inputs only as needed to provide, secure, maintain, and improve the Service, comply with law, and follow your instructions. You represent that you have the rights and permissions needed for the Customer Inputs and for the processing you request.

Do not submit secrets, regulated health information, payment-card details, government identifiers, sensitive personal data, or confidential third-party material unless we have expressly agreed in writing to process it.

5. Public-source data and third-party platforms

The Service may process publicly available Reddit posts, comments, usernames, community names, links, timestamps, and engagement signals. Public availability does not remove third-party rights or platform rules.

You must use CrowScout and any source material in accordance with applicable law, Reddit’s terms and policies, community rules, and the rules of any other third-party service you use. You must not use CrowScout to evade access controls, platform restrictions, rate limits, moderation, or account enforcement. Availability of a record in CrowScout is not a representation that any particular downstream use is lawful or permitted.

Reddit and other third-party services are independent from CrowScout. CrowScout is not affiliated with, endorsed by, or sponsored by Reddit unless expressly stated otherwise. Third-party services may change or restrict access at any time, which can affect the Service.

6. AI analysis and drafts

CrowScout uses automated systems, including third-party AI models, to extract product context, generate queries, score and route conversations, summarize evidence, and prepare drafts. AI output may be incomplete, inaccurate, outdated, biased, or unsuitable for your situation.

Scores, routes, summaries, drafts, and insights are decision-support materials, not facts or professional advice. Review the source evidence, verify important claims, and edit every draft before using it. Do not rely on CrowScout for legal, medical, employment, credit, insurance, housing, or other high-impact decisions about a person.

7. Acceptable use

You may not use the Service to:

• violate law, sanctions, export controls, intellectual-property rights, privacy rights, publicity rights, contractual restrictions, or third-party platform rules;
• harass, threaten, deceive, discriminate against, exploit, or target people based on sensitive traits;
• send spam, coordinate inauthentic engagement, impersonate another person, manipulate communities, or conceal commercial relationships where disclosure is required;
• build or enrich sensitive profiles, conduct unlawful surveillance, or make eligibility decisions with legal or similarly significant effects;
• collect credentials, private messages, non-public content, or data obtained by bypassing technical or permission controls;
• upload malicious code, probe vulnerabilities without written authorization, disrupt the Service, or impose unreasonable load;
• reverse engineer or extract models, prompts, source code, or non-public datasets except where a restriction is prohibited by law;
• resell, sublicense, or provide the Service as a bureau service unless your plan or a written agreement allows it; or
• remove notices, misrepresent output as independently verified, or claim that CrowScout guarantees leads, replies, rankings, traffic, revenue, indexing, or AI citations.

We may investigate suspected misuse and limit or suspend access when reasonably necessary to protect users, third parties, the Service, or legal compliance.

8. CrowScout intellectual property

CrowScout and its licensors own the Service, software, design, documentation, models, workflows, and branding, excluding Customer Inputs and third-party source content. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your plan term for your internal business purposes.

If you provide feedback, you permit us to use it without restriction or compensation, provided we do not publicly identify you as its source without permission.

9. Plans, trials, payments, and taxes

Plan features, active-product limits, prices, billing intervals, and trial terms are shown at checkout or in an order form. Prices are stated in the displayed currency and may exclude applicable taxes.

Subscription plans renew automatically for the same interval until canceled. You authorize the payment provider to charge the payment method on file. You may cancel renewal through billing settings or the method stated in your order. Cancellation takes effect at the end of the paid period unless stated otherwise; partial periods are not prorated or refunded except where required by law or expressly promised at purchase.

A trial may convert to a paid subscription at its end if payment details were collected and checkout disclosed automatic conversion. One-time or “lifetime” plans provide access for the supported lifetime of the applicable CrowScout offering, not the lifetime of any person, company, or technology. They do not guarantee that every future feature or third-party cost will be included.

We may change future prices with advance notice. You are responsible for taxes other than taxes on our income and for keeping billing information accurate. Payment processing may be subject to the payment provider’s separate terms.

10. Confidentiality

Each party may receive non-public information identified as confidential or that reasonably should be understood as confidential. The receiving party will use it only to perform under these Terms and protect it with reasonable care. This does not cover information that is public without breach, already lawfully known, independently developed, or lawfully received without a duty of confidentiality. Disclosure is permitted when required by law after notice where legally allowed.

11. Privacy and data protection

Our Privacy Policy explains how we handle personal data. If applicable law requires a separate data-processing agreement for your use, contact us before submitting personal data that requires one. You remain responsible for providing notices and establishing a lawful basis for personal data you direct us to process.

12. Suspension and termination

You may stop using the Service at any time and may delete products or your account through available settings. Product and account deletion may be irreversible.

We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay undisputed fees, or use the Service in a way that may harm CrowScout, users, or third parties. When practical, we will give notice and an opportunity to cure. We may act immediately for urgent security, abuse, or legal reasons.

Upon termination, your right to use the Service ends. Provisions that by their nature should survive will survive, including payment obligations, ownership, confidentiality, disclaimers, liability limits, and dispute terms.

13. Availability, changes, and third-party dependencies

We aim to operate the Service reliably but do not promise uninterrupted or error-free availability. Maintenance, security incidents, provider outages, platform changes, legal restrictions, and events outside our reasonable control may interrupt or limit features. Preview and beta features may be changed or withdrawn without notice.

14. No guaranteed outcomes

CrowScout provides tools and information “as is” and “as available.” To the fullest extent allowed by law, CrowScout disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee the quantity, quality, or conversion of leads; that anyone will reply; that content will be indexed, rank in search, receive traffic, or be cited by an AI system; or that Reddit or another provider will keep content or access available. No score, forecast, example, preview, testimonial, or marketing statement creates such a guarantee.

Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

15. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, goodwill, data, or business opportunities, even if advised of the possibility.

To the fullest extent permitted by law, CrowScout’s total liability arising out of or relating to the Service and these Terms will not exceed the greater of (a) the fees you paid to CrowScout for the Service during the 12 months before the event giving rise to the claim or (b) USD 100.

These limits do not apply to liability that cannot lawfully be limited, or to your payment obligations, misuse of the Service, or infringement of CrowScout’s intellectual-property rights.

16. Indemnity

If you use the Service for business purposes, you will defend and indemnify CrowScout against third-party claims, damages, and reasonable costs arising from your Customer Inputs, your communications or campaigns, your violation of Sections 5 or 7, or your infringement of third-party rights, except to the extent caused by CrowScout’s breach or unlawful conduct.

17. Governing rules and disputes

These Terms are governed by the law applicable to the CrowScout operator identified in your order or account notice, without regard to conflict-of-law rules. Courts with jurisdiction over that operator will have non-exclusive jurisdiction. Mandatory consumer protections and rights to bring claims in your home forum remain unaffected.

Before filing a formal claim, each party agrees to give the other written notice and make a good-faith effort for 30 days to resolve the dispute. Either party may seek urgent injunctive relief where necessary.

18. Changes to these Terms

We may update these Terms to reflect product, provider, legal, or security changes. We will post the revised date and provide additional notice for material changes when reasonably required. Changes apply prospectively. Continuing to use the Service after the effective date means you accept the revised Terms.

19. General terms

You may not assign these Terms without our consent, except in connection with a merger or sale of substantially all relevant assets. We may assign them as part of a reorganization, financing, merger, acquisition, or asset transfer. If any provision is unenforceable, it will be narrowed to the minimum extent necessary and the rest remains effective. A failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, and any applicable order form are the entire agreement regarding the Service; an order form controls only where it expressly conflicts with these Terms.
